Terms of Service

Please read these Terms of Service carefully before using ORENX. By accessing or using our platform, you agree to be bound by these terms. If you do not agree, please do not use our services.

1. Acceptance of Terms

By accessing or using the ORENX platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User," "you," or "your") and ORENX ("we," "us," or "our").

You must be at least 18 years of age to use this Service. By using ORENX, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

We reserve the right to update or modify these Terms at any time. When we make changes, we will provide at least 30 days' notice via email or through the platform before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

2. Service Description

ORENX is a cloud-based inventory management platform designed specifically for Indian Micro, Small, and Medium Enterprises (MSMEs). The Service provides businesses with tools to manage their inventory, operations, and compliance needs efficiently.

Key features include:

  • Real-time inventory tracking across multiple locations
  • Product catalog management with SKU and HSN code support
  • Transaction management (sales and purchases)
  • Work order management for manufacturing workflows
  • Party management (customers, suppliers, and vendors)
  • AI-powered OCR for document scanning and data extraction
  • AI-powered chat assistant for business insights
  • WhatsApp integration for notifications and alerts
  • Business analytics and reporting dashboards
  • Machine learning-based demand forecasting
  • Multi-location inventory management
  • Stock valuation (FIFO, weighted average, and other methods)
  • GST compliance and tax reporting

We strive to maintain a 99.9% uptime goal for the Service, though this is not a guaranteed SLA. Actual availability may vary due to maintenance, updates, or circumstances beyond our control.

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account. When creating your account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and complete
  • Accept all risks of unauthorized access to your account
  • Notify us immediately of any unauthorized use of your account or any other breach of security

3.2 Account Security

You are responsible for safeguarding your account credentials. You agree to:

  • Create a strong, unique password and keep it confidential
  • Not share your login credentials with any third party
  • Enable two-factor authentication (2FA) when available for enhanced security
  • Log out of your account after each session, especially on shared or public devices

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, abuse of the Service, or any other reason at our sole discretion. You may also delete your account at any time through your account settings or by contacting us.

4. Subscription and Billing

4.1 Plans

ORENX offers the following subscription plans:

  • Free Plan — Limited features for individual users and small businesses getting started
  • Starter Plan — Essential inventory management features for growing businesses
  • Professional Plan — Advanced features including AI tools, analytics, and multi-location support
  • Enterprise Plan — Full-featured plan with custom integrations, dedicated support, and priority access

New users are eligible for a 15-day free trial of the Starter Plan. No credit card is required to start the trial. At the end of the trial period, you may choose to subscribe to a paid plan or continue with the Free Plan.

4.2 Billing

  • Subscriptions are available on monthly or yearly billing cycles
  • All paid subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date
  • Payments are processed securely through Razorpay, which is PCI-DSS compliant
  • Accepted payment methods include credit cards, debit cards, UPI, net banking, and other methods supported by Razorpay
  • Price changes will be communicated with at least 30 days' notice before taking effect
  • Failed payments may result in service interruption. We will attempt to notify you and retry the payment before suspending your account

4.3 Refunds

Refunds are processed in accordance with our Refund Policy. Eligible users may request a refund within a 7-day window from the date of purchase for genuine reasons.

4.4 Cancellation

You may cancel your subscription at any time through Settings > Billing in your account dashboard. Upon cancellation, your subscription will remain active until the end of the current billing period. No partial refunds will be issued for unused time within a billing cycle.

5. User Obligations and Prohibited Activities

5.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree to:

  • Use the Service solely for legitimate business inventory management purposes
  • Comply with all applicable local, state, national, and international laws and regulations
  • Ensure that all data you enter into the platform is accurate and lawful
  • Respect the rights and privacy of other users and third parties
  • Use the Service in a manner that does not interfere with or disrupt the experience of other users

5.2 Prohibited Activities

You may not engage in any of the following activities:

  • Exploiting or abusing the Service, including using it for any fraudulent or deceptive purpose
  • Attempting to gain unauthorized access to any part of the Service, other users' accounts, or our systems and networks
  • Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Service
  • Sending spam, unsolicited communications, or bulk messages through or using the Service
  • Violating any applicable laws, regulations, or third-party rights
  • Interfering with or disrupting the Service, servers, or networks connected to the Service
  • Scraping, data mining, or using automated tools to extract data from the Service without our written consent
  • Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity

5.3 Consequences of Violation

Violation of these Terms may result in:

  • Temporary or permanent suspension of your account
  • Permanent ban from the Service
  • Legal action, including pursuit of civil and/or criminal remedies
  • Reporting to relevant law enforcement authorities
  • Forfeiture of any prepaid subscription fees without refund

Important: We take violations of these Terms seriously. Any attempt to misuse the Service or harm other users will be dealt with swiftly and may result in immediate termination of your account without prior notice.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including all content, features, functionality, software, designs, trademarks, logos, and documentation, is owned by ORENX and is protected by Indian and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes, subject to these Terms.

6.2 Your Data Ownership

You retain full ownership of all data, content, and information you upload, enter, or generate through the Service ("Your Data"). By using the Service, you grant us a limited license to use, process, and store Your Data solely for the purpose of providing and improving the Service.

6.3 Restrictions

You may not:

  • Copy, reproduce, distribute, or create derivative works of any part of the Service
  • Resell, sublicense, or commercially exploit the Service or any portion thereof
  • Use ORENX trademarks, logos, or branding without prior written consent
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Service

7. AI Services and Third-Party AI Providers

7.1 AI-Powered Features

ORENX integrates AI-powered features through Vertex AI (Google Cloud). These features include:

  • Natural Language Processing (NLP) for intelligent data analysis
  • Conversational AI assistant for business queries and insights
  • Text embeddings for semantic search and recommendations
  • Optical Character Recognition (OCR) for document scanning and data extraction

7.2 AI-Generated Content Disclaimer

AI-generated content, predictions, and recommendations are provided for informational purposes only and are not guaranteed to be 100% accurate. You acknowledge that AI outputs may contain errors or inaccuracies and agree that you are solely responsible for verifying and validating any AI-generated information before relying on it for business decisions.

7.3 Data Processing Consent

By using AI-powered features, you consent to your data being processed by Google Cloud infrastructure in accordance with their data processing terms. We ensure that data shared with third-party AI providers is handled securely and in compliance with applicable data protection laws.

7.4 AI Service Availability

AI features are subject to the availability and performance of third-party AI services. We do not guarantee uninterrupted access to AI features and shall not be liable for any disruptions, inaccuracies, or limitations arising from third-party AI services.

8. Data and Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, store, and protect your personal and business data. By using the Service, you agree to the terms of our Privacy Policy.

8.1 Data Ownership

You retain full ownership of all data you enter into the Service. We do not sell, share, or use your business data for any purpose other than providing and improving the Service.

8.2 Data Export

You may export your data from the Service at any time in standard formats. We provide data export tools within the platform to ensure you always have access to your own data.

8.3 Data Deletion

You may request deletion of your data at any time. However, please note that we are required to retain certain financial and transactional data for a minimum of 7 years to comply with Indian tax and accounting regulations. After the mandatory retention period, such data will be securely deleted.

9. Service Availability and Modifications

9.1 Uptime

While we strive for maximum uptime, the Service may experience downtime due to:

  • Scheduled maintenance: We will provide advance notice whenever possible for planned maintenance windows
  • Emergency maintenance: Critical security patches or urgent fixes may require immediate downtime without prior notice
  • Third-party outages: The Service depends on third-party infrastructure providers, and outages on their end may affect availability
  • Force majeure: Natural disasters, acts of war, government actions, or other events beyond our reasonable control

9.2 Service Modifications

We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time. We will make reasonable efforts to notify you of significant changes that may affect your use of the Service.

9.3 Feature Availability by Plan

Certain features and functionality may be available only to specific subscription plans. We reserve the right to change which features are included in each plan, provided we give reasonable notice of any changes that reduce the features available in your current plan.

10. Termination

10.1 Termination by You

You may terminate your use of the Service at any time by:

  • Cancelling your subscription through your account settings
  • Deleting your account through the platform
  • Contacting us at contact@orenx.in to request account closure

10.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if you:

  • Violate any provision of these Terms
  • Engage in fraudulent or illegal activities
  • Abuse the Service or other users
  • Fail to pay subscription fees (non-payment)
  • Attempt unauthorized access to the Service or its systems
  • Are required to do so by law or regulatory authority

10.3 Suspension and Banning

Depending on the severity of the violation, we may take the following actions:

  • Temporarily suspend your account pending investigation
  • Permanently ban your account from the Service
  • Block your IP address or other identifiers from accessing the platform
  • Deny refunds for any prepaid subscription fees

10.4 Data Retention After Termination

Upon termination of your account, we will retain your data for a reasonable period to allow you to export it. After this period, your data will be securely deleted, except for data we are legally required to retain (such as financial records for tax compliance purposes).

10.5 Legal Action

We reserve the right to pursue legal action against users who violate these Terms, including seeking damages, injunctive relief, and recovery of legal costs.

11. Limitation of Liability

11.1 Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or availability.

11.2 Limitation of Damages

To the maximum extent permitted by applicable law, ORENX shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business opportunities, or goodwill
  • Service downtime or interruptions, whether planned or unplanned
  • Errors or inaccuracies in AI-generated content, predictions, or recommendations
  • Failures, errors, or outages of third-party services or integrations

11.3 Maximum Liability

Our total aggregate liability to you for any and all claims arising from or related to the Service shall not exceed the total amount paid by you to ORENX during the 12 months immediately preceding the event giving rise to the claim.

11.4 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, war, terrorism, civil unrest, power failures, or internet outages.

12. Indemnification

You agree to indemnify, defend, and hold harmless ORENX, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of or access to the Service
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any applicable law, rule, or regulation in connection with the Service
  • Your infringement of any third-party rights, including intellectual property rights
  • Any data or content you upload, submit, or transmit through the Service

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

13.2 Jurisdiction

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Jamnagar, Gujarat, India.

13.3 Dispute Resolution Process

Before initiating any legal proceedings, we encourage you to try to resolve disputes informally:

  • Step 1: Contact us at contact@orenx.in with a detailed description of your concern
  • Step 2: We will attempt to resolve the dispute through good-faith negotiation within 30 days
  • Step 3: If the dispute cannot be resolved through negotiation, both parties may agree to pursue mediation before initiating formal legal proceedings

In summary, eligible users may request a refund within a 7-day window from the date of purchase for genuine reasons. All refund requests are reviewed on a case-by-case basis and are subject to the terms outlined in our Refund Policy.
